Customer Contract

  1. Definitions
  • Provider / We / Us: Filter Free Ltd (Company Number 15517778).
  • Platform: the product/platform known as Flow (Filter Free Flow).
  • Customer / You: The person or business purchasing the Services.
  • Services: Access to the Platform, plus support and any included deliverables set out in your order/proposal.
  • Service Start Date: The date we first provide access to the Services.
  • Subscription Term: Rolling monthly period, unless taken with a discounted website build, where a minimum 12 month term applies, followed by a rolling monthly contract.
  1. Agreement and order of documents
  • These Terms apply to all Services we provide.
  • If there is a conflict, the order of precedence is: (1) these Terms, (2) any policies referenced.
  1. Subscription term, minimum commitment and renewal
  • Minimum term: You commit to a minimum 1 month Subscription Term starting on the Service Start Date. If you purchased a discounted website build alongside Flow, a minimum 12 month term applies, followed by a rolling monthly contract.
  • Renewal: After the minimum term ends, the subscription continues on a rolling monthly basis.
  • Ending after the minimum term: You may cancel the rolling monthly subscription by giving 30 days’ written notice (email is acceptable) to take effect at the end of the next monthly billing period.
  • Early termination during the minimum term: If you cancel (or we terminate due to your breach) during the minimum term, all remaining monthly fees for the minimum term become immediately due and payable.
  1. Fees, billing and price changes
  • Fees are as stated in your proposal/order form.
  • Fees are billed monthly in advance unless otherwise agreed.
  • All fees are exclusive of VAT (where applicable).
  1. What’s included

Unless your order form states otherwise, your subscription includes:

  • Unlimited access to Platform features available in your plan.
  • Email sending allowance: up to 2,000 emails per month (non-rolling; unused allowance does not carry over).
  • Support: email support.
  • Account management call: one (1) 30-minute video call per month.
  1. What’s not included (unless agreed in writing)
  • Website builds, major redesigns, or rebuilds.
  • Copywriting, branding, photography, video, ad management.
  • Complex automations/funnels beyond what is included in your plan or agreed scope.
  • Data migration beyond basic import.
  • Third-party fees (email/SMS/telephony, domains, payment gateways, WhatsApp, etc.).
  1. Third-party services and pass-through costs
  • The Platform uses third-party services. Availability and performance may depend on those services.
  • Any third-party charges (e.g., SMS, calls, email sending beyond allowance, domain renewals) are your responsibility and may be billed directly by the provider or passed through by us.
  1. Customer responsibilities

You agree to:

  • Provide accurate information and timely approvals.
  • Keep login credentials secure and restrict access to authorised users.
  • Ensure you have lawful rights to upload and use any data, contacts, images, and content.
  • Use the Services in compliance with all applicable laws (including UK GDPR and PECR where relevant).
  1. Acceptable use

You must not:

  • Use the Services for unlawful, harmful, or misleading activities.
  • Send spam or unsolicited marketing.
  • Attempt to access accounts or data you do not own.
  • Reverse engineer, copy, resell, or white-label the Services without our written permission.
  1. Data protection and privacy
  • Each party will comply with applicable data protection laws.
  • You are the data controller for your customer/contact data. We act as a data processor to the extent we process personal data on your behalf.
  • You remain responsible for configuring your own consent, opt-in/opt-out, and retention settings.
  1. Intellectual property
  • We retain all rights in the Platform, our templates, automations, and materials we provide.
  • You retain rights in your own content and data.
  • During the subscription, we grant you a non-exclusive, non-transferable right to use the Services for your internal business purposes.
  1. Support and service levels
  • Support is provided via email.
  • We may perform maintenance that could cause temporary downtime.
  • We do not guarantee uninterrupted or error-free service.
  1. Suspension

We may suspend access (with or without notice where reasonably necessary) if:

  • Fees are overdue.
  • We believe there is a security risk, unlawful use, or breach of Acceptable Use.
  • A third-party provider requires suspension.
  1. Termination
  • Either party may terminate immediately if the other commits a material breach and fails to remedy within 14 days of written notice.
  • We may terminate immediately if you repeatedly breach Acceptable Use, or if continued provision would breach law.
  1. Offboarding, access and data on termination
  • On termination, your access to the Services will end.
  • No sub-account transfer: you do not have the right to take or transfer your Flow (Filter Free Flow)/GHL sub-account to another agency or provider.
  • If you request it, we will provide an export of viable parts of your data that are available via the platform and reasonably exportable (for example, contact lists) within 14 days, provided all fees are paid.
  • Some data may be stored with third-party providers and may not be fully exportable.
  • After termination, we may delete your data after a reasonable period.
  1. Liability
  • Nothing in these Terms limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
  • Subject to the above, our total liability in any 12-month period is limited to the fees you paid to us in that period.
  • We are not liable for indirect or consequential loss (including loss of profits, revenue, goodwill, or data) to the extent permitted by law.
  1. Confidentiality
  • Each party will keep the other’s confidential information confidential and use it only to perform under these Terms.
  1. Changes to these Terms
  • We may update these Terms from time to time.
  • If changes are material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance.
  1. Notices
  • Notices must be in writing and sent to the email addresses used for account administration (or as otherwise notified).
  1. Governing law
  • These Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
  1. Signature / acceptance
  • By signing an order form, ticking the acceptance box or using the Services, you confirm you have authority to bind the Customer and accept these Terms.
